Agreement to Terms

By accessing or using the services provided by Josh Schuddeboom OTR Solutions ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

Services Provided

We provide invoice factoring and related financial services for trucking companies and owner-operators, including:

• Invoice factoring and freight bill financing
• Fuel card discount programs
• Back office administrative support
• Credit checks on brokers and shippers
• Collections services

Service Agreement

Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information
• Submit invoices with proper documentation (POD, rate confirmation)
• Notify us of any disputes or payment issues with customers
• Maintain valid operating authority and required insurance
• Not factor the same invoice with multiple factoring companies
• Direct your customers to remit payment to us for factored invoices

Prohibited Activities

You may not:

• Submit fraudulent or falsified invoices
• Misrepresent your business or financial information
• Interfere with our collection of payments
• Use our services for illegal purposes
• Factor invoices that do not meet our underwriting criteria

Payment and Fees

All fees are outlined in your factoring agreement. We reserve the right to adjust fees based on changes in your business profile, invoice volume, or customer creditworthiness. Any fee changes will be communicated to you in writing with appropriate notice.

Termination

Either party may terminate the agreement according to the terms specified in your factoring contract. Reasons for immediate termination may include:

• Material breach of agreement terms
• Fraudulent activity or misrepresentation
• Loss of operating authority or insurance
• Bankruptcy or insolvency

Limitation of Liability

We are not liable for indirect, incidental, special, or consequential damages arising from the use of our services. Our liability is limited to the fees paid for the specific transaction in question. We are not responsible for customer payment defaults beyond our reasonable collection efforts.

Indemnification

You agree to indemnify and hold harmless Josh Schuddeboom OTR Solutions from any claims, damages, or expenses arising from your use of our services, your violation of these terms, or your violation of any third-party rights.

Dispute Resolution

Any disputes arising from these terms or our services will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive the right to participate in class action lawsuits.

Changes to Terms

We reserve the right to modify these Terms of Service at any time. Material changes will be communicated to active clients via email. Continued use of our services after changes constitutes acceptance of the new terms.
